Effective Date: 01/01/2026

Bloom & Co. Publishing (“we,” “us,” or “our”) respects your privacy. This Privacy Policy explains how we collect, use, disclose, and retain personal information when you visit www.bloomcopublishing.com, contact us, purchase products, enroll in educational programs, or use our publishing and related services.

Business operator: [Insert the full legal name of the entity operating Bloom & Co. Publishing]
Privacy contact: [Insert monitored business email address]
Mailing address: [Insert business mailing address]

1. Information We Collect

Depending on how you interact with us, we collect the following types of information:

Contact information: Your name, email address, telephone number, mailing address, and business or author name.

Order and service information: Products purchased, course registrations, publishing-service requests, billing and shipping details, transaction records, and communications about your order or project.

Author and project information: Manuscripts, author biographies, photographs, book descriptions, artwork, publication details, and other materials you provide for a publishing project. These materials may contain personal information about you or other people.

Communications: Information included in inquiries, emails, forms, feedback, support requests, or other correspondence.

Technical and usage information: Depending on the tools enabled on our website, information such as your IP address, browser type, device information, pages visited, referral source, and interactions with website features.

Payment information: Payment providers process payment details according to their own privacy policies. We may receive transaction confirmations and limited payment information. Do not send complete payment-card details through ordinary email or website inquiry forms.

If royalty payments or other contractual payments require tax or banking information, we will request that information through an appropriate collection method.

2. How We Use Information

We use personal information to:

  • Respond to inquiries and provide customer support.
  • Process purchases, registrations, payments, and deliveries.
  • Provide contracted publishing, editing, design, educational, and related services.
  • Communicate about projects, orders, accounts, schedules, and service changes.
  • Administer author relationships and any payments required by an applicable agreement.
  • Maintain business, accounting, and transaction records.
  • Understand website use and improve our offerings.
  • Send marketing communications where permitted by law and consistent with your choices.
  • Identify and address suspected fraud, unauthorized access, misuse, or security incidents.
  • Comply with applicable legal obligations and establish, exercise, or defend legal claims.

Where applicable law requires consent for a particular use, we obtain that consent before proceeding.

3. Cookies, Analytics, and Advertising

Our website may use cookies and similar technologies to support essential functions, remember preferences, and understand how visitors use the website.

Tools currently enabled: [List the actual website platform, analytics tools, advertising pixels, and relevant providers. State whether targeted advertising is used.]

Some technologies allow third-party providers to collect information about website activity. Where required by applicable law, we provide consent or opt-out controls for these technologies.

You can manage cookies through your browser settings and any cookie controls provided on our website. Blocking certain cookies may affect website functionality.

Sale, sharing, and targeted advertising disclosure: [Insert an accurate statement describing whether information is sold or shared for targeted advertising, including any required opt-out mechanism. Do not state “we do not sell or share information” without checking your advertising and tracking tools.]

Where applicable law requires us to recognize browser-based privacy preference signals, we honor those signals as required.

4. How We Disclose Information

We disclose personal information when reasonably necessary for the following purposes:

Service providers: To providers supporting website hosting, payments, shipping, email communications, file storage, customer support, accounting, and other business functions.

Publishing partners: To editors, designers, printers, distributors, retailers, and other collaborators involved in delivering your contracted services. The information disclosed depends on the project and the services requested.

Professional advisers: To attorneys, accountants, insurers, and other advisers where reasonably necessary.

Legal obligations and protection: To respond to legally valid requests, comply with applicable law, investigate suspected misconduct, protect people or property, or establish, exercise, or defend legal claims.

Business transactions: In connection with a proposed or completed merger, acquisition, financing, reorganization, or transfer of business assets, subject to applicable legal requirements.

At your direction or with your permission: When you request or authorize a disclosure.

5. Manuscripts, Author Information, and Publication

Materials submitted for a publishing project may need to be reviewed by personnel and service providers involved in that project.

Submitting a manuscript does not, by itself, transfer ownership of your copyright to Bloom & Co. Publishing. Ownership, licenses, publication permissions, confidentiality obligations, and other project rights are addressed in the applicable written agreement.

Publication and distribution may make your approved author name, biography, photograph, book description, and other publication information publicly accessible. Consider carefully which personal details you authorize for publication.

If you submit information about another person, you are responsible for having the rights and permissions required to provide it for the requested purpose. Avoid submitting sensitive personal information that is unnecessary for your project.

Automated and AI tools: [Describe whether manuscripts or other personal information are processed using AI tools, which providers are involved, and any relevant retention or model-training practices. If none are used, state that accurately.]

6. Public Content and Testimonials

Information you choose to post in public comments, reviews, discussion spaces, or other public areas may be viewed, copied, or shared by others.

We obtain any permission required by applicable law before using identifiable testimonials, photographs, or similar customer materials in our marketing.

Removing content from our own website may not remove copies already held by search engines, retailers, social platforms, or other third parties.

7. Information Security

We use reasonable administrative, technical, and organizational safeguards appropriate to the information we handle.

However, no internet transmission or electronic storage system is completely secure. We cannot guarantee absolute security.

If you believe your information has been compromised in connection with our services, contact us using the privacy contact listed above. We will provide notices of security incidents where required by applicable law.

8. Retention

We retain personal information for as long as reasonably necessary for the purposes described in this policy, including providing services, maintaining required records, resolving disputes, and meeting legal obligations.

Retention periods vary depending on the information, the project, contractual requirements, and applicable law.

Information may remain in restricted backups until those backups are replaced or deleted through normal retention processes. Information subject to a legal preservation requirement may be retained for longer.

Any agreed manuscript storage or file-return arrangements are governed by the applicable service agreement. Authors should retain their own copies of original materials.

9. Your Choices and Privacy Requests

You may contact us to request access to, correction of, or deletion of personal information.

Depending on your location and the laws that apply, you may also have rights to obtain a copy of your information, withdraw consent, restrict certain processing, or opt out of certain disclosures or targeted advertising.

These rights are subject to applicable exceptions. For example, we may need to retain information for accounting, legal compliance, fraud prevention, or the defense of claims.

We may request information reasonably necessary to verify your identity or an authorized representative’s authority. We respond within the time required by applicable law.

Where an appeal process is required, you may submit an appeal to the privacy contact above.

10. Marketing Communications

You can unsubscribe from promotional emails using the unsubscribe link included in those messages or by contacting us.

Unsubscribing from marketing does not stop necessary communications about purchases, publishing projects, registrations, payments, or legal notices.

11. Children’s Privacy

Our website and services are not directed to children under 13, and we do not knowingly collect personal information from children under 13.

If you believe a child under 13 has provided personal information to us, contact us so we can investigate and take appropriate action.

Any services involving minors require arrangements appropriate to the service and applicable law, including parent or guardian involvement where required.

12. Third-Party Websites and Platforms

Our website and services may link to or interact with third-party websites, retailers, payment services, educational platforms, and social networks.

Those organizations maintain their own privacy policies and practices. Review their policies before providing personal information to them.

This Privacy Policy describes our practices and does not govern the independent activities of third parties.

13. International Processing

We operate in the United States. Our service providers may process information in the United States or other locations.

Where applicable law requires safeguards for international transfers, we use the safeguards required for the relevant transfer. Contact us for information about processing relevant to your service.

14. Changes to This Policy

We may update this Privacy Policy to reflect changes in our services, practices, or legal obligations.

The revised policy will display an updated date. Where required by law, we provide additional notice or obtain consent before applying a material change.

15. Relationship to Other Agreements

This Privacy Policy explains our personal-information practices. It does not replace a Publishing Services Agreement, Terms of Use, refund policy, or other applicable agreement.

Payment terms, project scope, author warranties, intellectual-property permissions, service limitations, and dispute procedures should be addressed in the applicable agreement.

Nothing in this policy excludes obligations or rights that cannot legally be excluded.

PUBLISHING SERVICES AGREEMENT

BLOOM & CO. PUBLISHING

PUBLISHING SERVICES AGREEMENT

Effective Date: [01/01/2026]

This Publishing Services Agreement (“Agreement”) is between:

Service Provider: [Full legal entity name], doing business as Bloom & Co. Publishing (“Company”)
Email: info@bloomcopress.com

and

Author/Client: [Full legal name] (“Author”)
Address: [Address]
Email: [Email]

The Company and Author are collectively the “Parties.”

1. Project and Services

Working Book Title: [Title]
Author/Pen Name: [Name]
Project Description: [Description]

The Company will provide only the services and deliverables identified in the attached Project Schedule, which forms part of this Agreement.

Services may include editing, proofreading, formatting, cover design, publication setup, printing coordination, distribution setup, marketing support, or consultation, as specifically selected.

Services not expressly included are excluded. Additional work requires written agreement on scope, price, and any revised schedule before it begins.

This Agreement is for publishing services. It does not establish an employment relationship, partnership, joint venture, or general authority to act on the Author’s behalf.

2. Author Responsibilities

The Author will:

  • Provide complete materials in the agreed formats.
  • Supply accurate author, book, billing, and publication information.
  • Obtain required permissions and releases.
  • Meet agreed submission and review deadlines.
  • Review proofs and proposed publication details carefully.
  • Identify one person authorized to provide instructions and approvals.
  • Keep independent backups of all original materials.
  • Comply with the applicable requirements of selected retailers and distribution platforms.

The Company may rely on instructions from the Author’s designated contact unless notified otherwise in writing.

Delays, incomplete materials, or changes requested by the Author may require a revised schedule and additional approved fees.

3. Ownership and Limited Permissions

The Author retains ownership of the Author’s original manuscript and other Author-owned materials.

The Author grants the Company a nonexclusive license to reproduce, edit, format, transmit, and otherwise use submitted materials solely as reasonably necessary to perform the agreed services. This permission includes sharing materials with project personnel and service providers as necessary.

Publication, distribution, advertising, or use of the Author’s name and likeness is authorized only to the extent described in the Project Schedule or separately approved in writing.

No film, television, translation, merchandising, or other subsidiary rights are granted unless expressly stated in a separate signed agreement.

This Agreement does not transfer ownership of the Author’s copyright to the Company.

Company-Created Deliverables

After full payment, the Company assigns to the Author its transferable copyright interest in original, custom final deliverables created specifically for the project and listed in the Project Schedule, excluding the materials described below.

The Company retains ownership of its preexisting materials, templates, methods, tools, and general know-how. The Author receives a nonexclusive license to use any such materials incorporated into the paid final deliverables as necessary to use those deliverables.

Fonts, stock images, software, and other third-party materials remain subject to their respective licenses. Editable source files are included only if expressly listed.

The Company will obtain from its subcontractors the rights reasonably necessary to provide the agreed deliverables.

4. Author Warranties and Permissions

The Author represents that:

  1. The Author owns or has sufficient permission to use all submitted materials and authorize the agreed services.
  2. The Author has authority to enter this Agreement.
  3. To the Author’s knowledge after reasonable inquiry, submitted materials do not unlawfully infringe copyright, trademark, privacy, publicity, or other rights.
  4. Required permissions for photographs, illustrations, quotations, contributions, and other protected materials have been obtained.
  5. Submitted materials do not knowingly contain unlawful defamatory content or unlawfully disclosed confidential information.
  6. Information supplied about ownership and permissions is accurate.

The Author will disclose known disputes, ownership restrictions, prior exclusive grants, and relevant contractual obligations before work begins.

The Company’s editing or review does not constitute legal clearance of the manuscript. Legal review and permissions research are included only if expressly agreed and performed by appropriately qualified professionals.

5. Infringement and Other Content Claims

The Company may request supporting permissions or ownership documentation.

If the Company receives a credible infringement, privacy, defamation, or similar claim, it may reasonably suspend affected work or seek removal of affected distribution listings while the issue is reviewed.

Where legally permitted, the Company will notify the Author and provide a reasonable opportunity to respond.

The Author will cooperate in resolving the claim. Any replacement content, revisions, or additional work requires written agreement regarding responsibility and cost.

The Company is not obligated to publish material it reasonably believes is unlawful or materially violates a platform’s requirements.

Suspension or removal does not determine which Party is legally responsible for a claim.

6. Editing and Final Proof Approval

The included editing level and number of revision rounds are stated in the Project Schedule.

Editing and proofreading reduce errors but do not guarantee an error-free publication.

Before publication or production, the Author must approve in writing the final applicable:

  • Interior file and manuscript text.
  • Cover, spine, and back-cover design.
  • Author name and biography.
  • Copyright page and publication details.
  • ISBN and imprint information.
  • Format, dimensions, and publication price.

Silence does not constitute final approval.

Approval may be provided by signed proof form or an email that clearly identifies the approved file versions.

Author-requested changes after approval may result in additional approved charges, revised timelines, or replacement production costs.

The Company remains responsible for correcting a material departure it introduces from the approved files. Responsibility for other errors or production defects will be assessed according to their cause and this Agreement.

7. Fees and Payment

Total Service Fee: $[Amount]
Initial Payment: $[Amount], due [Date/event]
Remaining Payments: [Amounts and due dates]

Applicable taxes, printing, shipping, platform charges, advertising expenditures, and other third-party costs are included only if expressly identified.

The Company will not incur additional chargeable expenses on the Author’s behalf without written authorization.

The Company may suspend work for overdue undisputed amounts after written notice and a reasonable opportunity to pay. Final deliverables may be withheld until agreed payments are complete, except where applicable law requires otherwise.

No late fee applies unless its amount and terms are expressly stated in the Project Schedule and permitted by law.

The Author should promptly identify a disputed invoice item. The Parties will work in good faith to resolve the dispute, and undisputed amounts remain payable.

8. Cancellation and Refunds

The Author may cancel by written notice.

Upon cancellation, the Company may retain or collect payment for:

  • Services actually performed through the cancellation date.
  • Completed, authorized deliverables.
  • Reasonable, authorized third-party costs that cannot be canceled or recovered.

These amounts must not exceed the agreed project charges plus approved additional work and expenses.

Payments exceeding those amounts will be refunded within 30 days after the final accounting, unless a shorter period is legally required.

An initial payment is credited toward the project and is not automatically nonrefundable.

If the Company cancels without Author breach, it will refund unearned fees and provide completed paid deliverables, subject to applicable licensing restrictions.

If the Author alleges a material service defect, the Author should give written details and a reasonable opportunity for correction. If a material breach remains uncured after the period in Section 17, applicable termination and legal remedies remain available.

This section does not restrict refund rights that cannot legally be waived.

9. Printing and Third-Party Platforms

Printers, retailers, distributors, and other platforms may impose their own specifications, fees, review procedures, eligibility requirements, return policies, and payment schedules.

The Company does not control their independent decisions or guarantee acceptance, uninterrupted availability, delivery dates, or continued listings.

Placement with a distributor does not guarantee bookstore shelf placement, library acquisition, or retailer purchasing.

Minor production variations may occur within the selected printer’s specifications. The Company will reasonably assist with documented production defects and applicable vendor remedies.

The Company remains responsible for its own contractual obligations and conduct.

10. Sales Proceeds and Royalties

Payment for publishing services does not, by itself, create a royalty-sharing arrangement.

Unless a signed Distribution and Royalty Schedule states otherwise, sales accounts and proceeds will be controlled by and paid directly to the Author.

If the Company collects sales proceeds, the signed schedule must specify:

  • Authorized formats, territories, platforms, and term.
  • Who controls the accounts and ISBNs.
  • The precise royalty or revenue-sharing formula.
  • Every permitted deduction.
  • Statement and payment frequency.
  • Treatment of taxes, returns, chargebacks, and reserves.
  • Record inspection procedures.
  • Termination and final accounting procedures.

The Company will not apply an unstated royalty percentage or deduction.

11. No Guarantee of Sales or Income

The Company does not guarantee:

  • Any number of sales or readers.
  • Profit, income, or recovery of project costs.
  • Bestseller status, reviews, awards, or publicity.
  • Bookstore or library placement.
  • Advertising performance or search visibility.
  • Film, television, licensing, or other commercial opportunities.

Examples, estimates, projections, and testimonials illustrate possible outcomes and are not promises.

The Company will perform the expressly agreed services with reasonable care and skill. This section does not excuse failure to provide those services.

12. Marketing and Publicity

Marketing services and advertising budgets must be stated in the Project Schedule.

The Author must approve claims about the book or Author that require factual confirmation.

The Company will not purchase fabricated reviews, misrepresent sales results, or promise favorable independent reviews.

Use of the Author’s project in the Company’s portfolio, testimonials, or promotional materials requires separate written permission.

13. Confidentiality and Privacy

Each Party will use reasonable care to protect nonpublic information received from the other Party and use it only for the project or another authorized purpose.

Necessary disclosures may be made to personnel, service providers, professional advisers, or authorities as permitted or required by law.

Confidentiality does not apply to information that is lawfully public, independently developed, lawfully received without restriction, or approved for disclosure.

Unpublished manuscripts will not be publicly released without authorization.

The Company will not submit unpublished manuscripts to generative AI services without the Author’s prior written approval identifying the proposed use and provider.

Personal-information handling is also described in the Company’s Privacy Policy. A later policy update does not automatically change this Agreement’s negotiated confidentiality obligations.

14. File Storage and Delivery

Final deliverables and delivery methods are specified in the Project Schedule.

Post-project file retention period: [Period]

The Company will notify the Author before its scheduled deletion of project files and provide a reasonable opportunity to obtain included deliverables.

The Author is responsible for maintaining independent backups. This obligation does not excuse the Company’s failure to exercise reasonable care while holding project materials.

15. LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY LAW, EACH PARTY’S TOTAL LIABILITY ARISING FROM THIS AGREEMENT WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE UNDER THIS AGREEMENT.

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING SPECULATIVE LOST SALES OR PROFITS.

These limitations do not apply to:

  • Fraud, intentional misconduct, or gross negligence.
  • Liability that applicable law prohibits limiting.
  • The Author’s obligation to pay agreed fees.
  • Unauthorized use or disclosure of the other Party’s intellectual property or confidential information.
  • Amounts properly payable for third-party claims under Section 16.

These provisions must be interpreted consistently with applicable consumer-protection law and do not waive nonwaivable rights.

16. Third-Party Claims and Indemnification

The Author will indemnify the Company against third-party claims, damages, and reasonable defense costs to the extent caused by the Author’s breach of the ownership, permission, or content warranties in Section 4.

The Company will indemnify the Author against third-party claims, damages, and reasonable defense costs to the extent caused by infringement in original Company-created material supplied under this Agreement, excluding Author-provided content and claims caused by unauthorized modifications or use.

Neither Party is entitled to indemnification for the portion of a claim caused by its own breach, negligence, or misconduct.

The Party seeking indemnification must promptly notify the other Party, reasonably cooperate, and permit an appropriate defense. Delayed notice reduces the obligation only to the extent it materially prejudices the defense.

No settlement may admit fault, impose nonmonetary obligations, or leave liability on the protected Party without that Party’s written consent, which will not be unreasonably withheld.

17. Suspension and Termination

Either Party may terminate for a material breach that remains uncured 15 days after written notice describing the breach.

A longer cure period may be agreed where correction reasonably requires more time and meaningful corrective work is underway.

Immediate suspension is permitted when reasonably necessary to address suspected unlawful activity, a serious security risk, or unauthorized use of protected materials.

Upon termination:

  • Cancellation accounting follows Section 8.
  • The Company provides completed paid deliverables.
  • Permissions end except as necessary to complete authorized wind-down activities.
  • Authorized distribution is addressed under its separate schedule.
  • Outstanding statements and payments remain due.
  • Provisions intended to continue, including ownership, confidentiality, liability, and dispute procedures, survive.

18. Events Outside Reasonable Control

Neither Party is responsible for delay caused by events beyond its reasonable control, such as natural disasters, major outages, government restrictions, or transportation disruptions, if it promptly provides notice and takes reasonable steps to reduce the impact.

This provision does not excuse payment for work already performed.

If an interruption continues for more than 30 days, either Party may terminate affected services. Unearned payments will be refunded under Section 8.

19. Dispute Resolution

The Parties will first attempt to resolve disputes through good-faith written communication.

If unresolved within 30 days after written notice, the Parties will attempt mediation with a mutually selected mediator. Mediation fees will be shared equally unless otherwise agreed or required by law.

These steps do not prevent:

  • A permitted small-claims action.
  • Emergency relief to protect intellectual property or confidential information.
  • Filing necessary to preserve a legal deadline.
  • Complaints to government agencies.
  • Exercise of rights that cannot legally be restricted.

If mediation does not resolve the dispute, either Party may pursue available court remedies.

North Carolina law governs, except where another applicable law cannot be displaced.

To the extent legally permitted, proceedings will be brought in state courts in Alamance County, North Carolina, or an appropriate federal court serving that county. Mandatory jurisdiction and venue protections remain applicable.

This Agreement does not require arbitration, waive jury-trial rights, or prohibit legally protected claims or complaints.

Each Party bears its own legal fees unless applicable law or a court order provides otherwise.

20. Notices

Contract notices must be sent to the email addresses listed above, with a copy by mail when reasonably necessary or legally required.

An email notice is effective when receipt is acknowledged or otherwise reasonably established. A failed-delivery message does not constitute notice.

Each Party must provide updated contact details promptly.

21. Entire Agreement and Changes

This Agreement and its signed schedules contain the entire agreement concerning this project and replace prior discussions on the same subject.

Changes require written acceptance by both Parties. Website updates do not unilaterally amend this Agreement.

A signed project-specific provision controls over a conflicting general provision only when the intended change is clearly identified.

If a provision is unenforceable, the remaining provisions continue to the extent legally permitted.

Failure to enforce a provision on one occasion does not waive future enforcement.

22. Acceptance and Signatures

Each Party confirms that it has had an opportunity to review this Agreement, ask questions, and obtain independent advice.

The Parties agree to electronic signatures and electronic delivery of this Agreement, provided each receives a copy that can be retained.

The Agreement becomes effective when both Parties sign, unless a different effective date is expressly agreed.
